The agreement between you and Alpha2Echo Software Inc. for using Lead2.

1. Who this agreement is with

Lead2 (the “Service”) is operated by Alpha2Echo Software Inc. (“we”, “us”, “our”), a corporation registered in [PROVINCE — TO CONFIRM], Canada. By using the Service you agree to these terms. If you do not agree, do not use it.

2. Eligibility

You must be at least 18 years old to create an account. By creating one you confirm that you are.

3. This is a training tool, not clinical guidance

The Service is a simulator and study aid. It does not provide medical advice and must never be used to make or guide a decision about a real patient. Scenario content, character responses, scores, and feedback are generated by artificial intelligence and may be clinically wrong.

The full medical and training disclaimer forms part of these terms, and you are asked to acknowledge it before your first scenario. Nothing on the Service certifies, licenses, or qualifies you to do anything, or counts as continuing education unless a body you are accountable to has separately agreed that it does.

4. Your account

You sign in with a Google account. You are responsible for what happens under your account and for keeping access to it secure. Accounts are personal to you: do not share your login, and do not let anyone else use your subscription.

5. Licence to use the Service

We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use the Service for your own training and study, for as long as this agreement is in effect and, for paid features, for as long as your subscription is active.

This is a licence to use a hosted service. It does not transfer ownership of anything to you, and it ends when your account or subscription ends.

6. Restrictions

You must not:

  • copy, scrape, bulk-download, republish, resell, sublicense, or redistribute any part of the Service or its content, including scenarios, evaluations, reference material, and the ECG and calculation tools;
  • use automated means to access the Service, or attempt to circumvent rate limits, access controls, or payment requirements;
  • reverse engineer, decompile, or attempt to derive the underlying prompts, models, or protocol corpus, except where that restriction is prohibited by law;
  • use output from the Service to train, fine-tune, evaluate, or develop any machine learning model or competing product;
  • share, resell, or provide access to your account, or use one account to serve multiple people;
  • enter real patient information, personal health information about any identifiable person, or anyone else’s confidential information into a scenario;
  • attempt to make the Service produce content that is unlawful, harassing, or unrelated to paramedic training, or otherwise misuse it;
  • interfere with the Service’s operation or security, or attempt to access another user’s data;
  • present output from the Service to a regulator, employer, college, or base hospital as though it were a recognised assessment of your competence.

7. Intellectual property

The Service, its software, its scenarios, its evaluation rubrics, its ECG engine, and its calculation content are owned by us or licensed to us, and are protected by copyright and other laws. Except for the licence in section 5, nothing here gives you rights in any of it.

The Service also draws on prehospital reference material published by third parties, which remains the property of those publishers. We do not claim ownership of it, and your licence to use the Service does not give you any right to that underlying material beyond viewing it in context here.

8. What you write, and what the AI produces

You keep ownership of what you type or speak into a scenario. You grant us a licence to store, process, transmit to our service providers, and review it as needed to run the Service, produce your evaluation, and improve scenario and grading quality. How that works and who can see it is set out in our privacy policy, including that our administrators can review session transcripts.

We make no ownership claim over the AI-generated responses shown to you, and we make no claim that they are unique — another user may receive materially similar output.

9. Free tools and the free trial

The ECG reference and the calculation drills are free and need no account. We may change or withdraw them at any time.

We may designate one scenario as a free trial, playable a limited number of times without a subscription. The number of runs, and which scenario it applies to, are set by us and may change. The trial is per account, and creating additional accounts to obtain further free runs is a breach of section 6.

10. Subscriptions, billing, and renewal

  • Access to scenarios requires an active paid subscription, offered on a monthly or annual basis at the prices shown on our pricing page. Prices are in CAD and exclude applicable taxes unless stated.
  • Payments are processed by Stripe. We never receive or store your card number.
  • Subscriptions renew automatically at the end of each period, at the then-current price, until cancelled.
  • You can cancel at any time from the billing portal in the Service. Cancellation stops the next renewal; your access continues to the end of the period you have already paid for.
  • We may change prices. A change will not affect the period you have already paid for, and we will give account holders notice before it takes effect.
  • If a payment fails, we may suspend access to scenarios until it is resolved. Your session history is not deleted because of a failed payment.

11. Refunds

If you are unhappy with the Service, contact us within 14 days of your first payment and we will refund it in full.

After that, subscription fees are generally non-refundable, and cancelling part-way through a period does not entitle you to a partial refund — you keep access until the period ends. We will still consider a refund where the Service was substantially unavailable or did not work as described; ask us. Nothing here limits any refund right you have under applicable consumer protection law.

12. Availability and changes

We aim to keep the Service running but do not guarantee uninterrupted availability. We may modify, suspend, or discontinue features, scenarios, or the Service itself. If we discontinue the Service entirely while you hold a paid subscription, we will refund the unused portion of what you have paid.

13. No warranties

The Service is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We specifically do not warrant that scenario content, character responses, scores, feedback, or reference material are clinically accurate, current, complete, or suitable for any purpose. See the medical and training disclaimer.

14. Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or lost opportunity, arising from your use of the Service.

Our total liability to you for all claims relating to the Service is limited to the greater of the amount you paid us in the twelve months before the claim arose, or [AMOUNT — TO CONFIRM].

We are not liable for any clinical decision, patient outcome, examination result, employment consequence, or regulatory consequence connected with your use of the Service. Nothing in these terms excludes liability that cannot lawfully be excluded.

15. Indemnity

You agree to indemnify us against claims, losses, and reasonable legal costs arising from your breach of these terms, your misuse of the Service, or your use of anything from the Service in connection with real patient care.

16. Suspension and termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these terms, if your payment fails and is not resolved, or if we are required to by law. Sections 7, 8, and 13 to 17 survive termination.

17. Governing law

These terms are governed by the laws of the Province of [PROVINCE — TO CONFIRM] and the federal laws of Canada that apply there. The courts of that province have exclusive jurisdiction, except that either of us may seek injunctive relief in any competent court.

18. Changes to these terms

We may update these terms. We will change the date at the top, and for material changes we will notify account holders. Continuing to use the Service after a change takes effect means you accept the updated terms.
